Adam Albert Gabay

Adam advises public and private companies on U.S. securities laws, capital markets transactions, and mergers and acquisitions, with a particular focus on cross-border transactions involving U.S., Canadian, and International issuers.

Adam represents issuers in a broad range of capital markets transactions, including initial and follow-on public offerings, registered direct offerings, private placements, PIPE transactions, at-the-market (ATM) offerings, and other equity and debt financings. His experience includes transactions conducted under the Multijurisdictional Disclosure System, Rule 144A, Regulation S, and Regulation D, as well as advising companies on the registration and resale of securities in the United States.

Adam regularly counsels U.S. domestic issuers and foreign private issuers on ongoing SEC reporting and disclosure obligations, including the preparation of annual and periodic reports, registration statements, and other regulatory filings. He also advises companies on initial and continued listing requirements of U.S. securities exchanges, including Nasdaq, the New York Stock Exchange, and NYSE American, as well as applicable corporate governance standards and regulatory compliance matters.

In his mergers and acquisitions practice, Adam represents buyers and sellers in domestic and cross-border transactions, including public and private company acquisitions, business combinations, and reverse takeovers. He works closely with management teams, boards of directors, and other stakeholders to navigate complex transactional and regulatory considerations.

Adam represents clients across a diverse range of industries including biotechnology, pharmaceuticals, cannabis, gaming, aerospace, non-lethal defense, electronics manufacturing services (EMS), energy and natural resources, mining, and oil and gas.
